RANDALL A. MACKEY

Randall A. Mackey graduated magna cum laude and Phi Beta Kappa from the University of Utah in 1968, with a Bachelor of Science degree in Economics. He then earned a Masters of Business Administration degree from Harvard University in 1970. Mr. Mackey received his Juris Doctor degree from Columbia University in 1975. In 1977, he received a Bachelor of Civil Law degree with honors from Oxford University in England.

Prior to commencement of his legal education, Mr. Mackey served as a Legislative Assistant to Utah Congressman Sherman P. Lloyd. Prior to graduation from law school, he also worked as a Summer Associate with the law firm of Milbank, Tweed, Hadley & McCloy in New York City and with the law firm of Van Cott, Bagley, Cornwall & McCarthy in Salt Lake City, Utah.

After receiving his two law degrees, Mr. Mackey joined the law firm of Hogan & Hartson in Washington, D. C., where he practiced extensively in the areas of corporate and securities law and administrative law. In 1979, he returned to Utah and joined the Salt Lake City law firm of Fabian & Clendenin. He was a shareholder, Vice President, and a director of that firm prior to joining Mackey Price Thompson & Ostler in May of 1989. While at Fabian & Clendenin, Mr. Mackey's principal areas of practice included corporate and securities law and banking law. He also is experienced in administrative law and governmental relations matters. In addition to practicing law, Mr. Mackey served from 1981 to 1988 as an Adjunct Professor at the University of Utah, teaching courses in Constitutional Law and International Law.

During his legal career, Mr. Mackey has had extensive experience in corporate and securities matters, including mergers and acquisitions, public offerings and private placements of equity and debt securities, business planning, business sales and divestitures, securities law compliance, shareholder matters, proxy contests, tender offers, joint ventures, partnership law, commercial law, insurance law and aviation law. Mr. Mackey has also had wide experience in banking work, including the representation of federal and state chartered banks and thrift institutions in regulatory matters, various financial transactions, including secured and unsecured loan agreements, negotiable instruments and letters of credit, consumer credit forms and procedures, the development of new retail banking products and services, and advising out-of-state financial institutions in establishing branches or making loans in the State of Utah.

Mr. Mackey is active in community affairs. He is currently Vice Chairman of the Board of Trustees of Salt Lake Community College, a director of the Harvard Alumni Association, and a trustee of the World Affairs Forum and the Mark Eaton Standing Tall for Youth Foundation. Mr. Mackey has previously served as a trustee of Ballet West, the Utah Opera Company, the Gina Bachauer International Piano Foundation and the Salt Lake Education Foundation. Mr. Mackey has also served as a director of the Utah Arts Council and the Ouelessebougou Alliance (a locally sponsored project for providing assistance in the Ouelessebougou region of Mali). He has additionally served as President and a director of the Harvard Alumni Association of Utah.

Mr. Mackey served on the Utah National Steering Committee in 1992 and 1988 of President George Bush's Campaign Committee (Bush-Quayle '92 and Bush-Quayle '88). He was also Utah Co-Chairman in 1992 of the Lawyers for Bush-Quayle '92. In addition, he was a member of the Financial Committee of Governor Michael Leavitt=s Campaign Committee in 1996, a member of the Steering Committee of Governor Michael Leavitt's Campaign Committee in 1992 and a member of the Executive Committee of Governor Leavitt's Transition Committee from 1992 to 1993. Mr. Mackey served as a delegate to the 1988 Republican National Convention, was elected as a delegate to the 1992 Republican National Convention, and has held various positions within the Utah Republican Party, including serving as a member of its Executive Committee and Co-Chairman of its Policy and Issues Committee.

Mr. Mackey is a member of the Utah State Bar and the District of Columbia Bar and served on the Utah State Bar Securities Advisory Committee. He is also a member of the Alta Club. He is listed in Who=s Who in the World, 2,000 outstanding people of the 20th Century, Who's Who in American Law, Who's Who in Practicing Attorneys, Who=s Who in the West, Who's Who of Emerging Leaders in America, Who's Who in American Education, and International Leaders in Achievement.

Mr. Mackey is married and has eight children. His interests include reading, classical music, opera, basketball, and tennis.

GIFFORD W. PRICE

Gifford W. Price graduated cum laude, Phi Kappa Phi from the University of Utah in 1965, receiving his Bachelor of Science degree in Political Science. He received his Juris Doctorate degree from the University of California at Berkeley School of Law (Boalt Hall) in 1968.

Upon graduation from law school, Mr. Price returned to Salt Lake City, Utah, where he joined a predecessor firm to the law firm of Callister, Duncan & Nebeker. Prior to joining Mackey Price Thompson & Ostler, he was a shareholder, director, and Vice Chairman of the Board of Directors of Callister, Duncan & Nebeker.

Mr. Price has extensive litigation experience in federal and state courts, before the Utah Public Service Commission, the Interstate Commerce Commission, the Federal Communications Commission, and the Utah State Tax Commission, in addition to other regulatory experience, including experience with the Federal Aviation Administration. He has extensive experience in business and commercial litigation, including contract disputes, RICO, and products liability, as well as other areas of civil litigation. Mr. Price has practiced in the area of banking law, including operations and lending transactions, and has experience in areas of aviation, transportation, communications, general corporate law, and environmental law.

He is a member of the Utah State Bar and has served as Chairman of the Utah State Bar Committee on Environmental Control and as a law school Fellow at the University of Utah College of Law in connection with an environmental seminar. In addition, he has served as a member of the Advisory Council of the Wasatch National Forest, as a member of the Board of Directors of the Utah Legal Aid Society, as Chairman for the Salt Lake County American Cancer Society Crusade, as a member of the Alumni Board of the University of Utah, as a member of the Athletic Board of the University of Utah, as Chairman of the Athletic Scholarship Fund at the University of Utah, and as Chairman of the Board of Trustees of Ulster Project - Utah, Inc. (a project that sponsors teenage students from Northern Ireland for a month's visit in the United States). Mr. Price currently serves as a member of the District Export Council (Utah), U.S. Department of Commerce, and is currently the Chairman of the Board of Trustees of the World Affairs Forum.

Mr. Price is married and has three children. His interests include history, international affairs, reading, cross country skiing, tennis, political affairs, and music.

Background

Mr. Thompson received his Juris Doctor degree in 1969 from New York University Law School in New York City where he attended as a Root-Tilden-Snow Scholar. He graduated with honors from Utah State University in 1966, participating in student government, debate and inter-collegiate athletics. He also attended the University of the Americas in Mexico City, Mexico. After graduating from law school, Mr. Thompson practiced law in the military as an assistant judge advocate in Vietnam. He is a retired major in the United States Army Reserve.

Experience

Mr. Thompson is currently practicing law in Salt Lake City, Utah, principally in the areas of corporate, franchise, business opportunity, and related fields of product distribution law. He is an active member of the American Bar Association and the Utah State Bar having served on numerous bar committees. In addition to being a founder of the Utah State Bar Franchise Section, he served as its chairman for a number of years. He is also a past chairman of the annual meeting committee. Mr. Thompson was an instructor of corporate law at Mountain West College and has written and lectured in the areas of franchise and business opportunity law at seminars and continuing legal education courses and was published in the Utah Bar Journal: Drafting Distribution and License Agreements. He has served on the panel of arbitrators for the American Arbitration Association and is listed in The National Registry of Who's Who. He is a partner in the law firm of Mackey Price & Thompson.

For many years, Mr. Thompson has served on numerous corporate and charitable boards, including the executive committee of the Ballet West Board of Trustees as its executive vice-president. He was also a member of the Parks and Recreation Board for Park City, Utah and served on the Granite Education Foundation Board of Trustees and is currently serving on the Salt Lake County's Zoo Arts & Parks Board. In addition, Mr. Thompson has served on a number of political committees.

For 22 years I have represented governmental entities, quasi-government entities (independent contractors subject to government contracts and audits) and private interests as general outside legal counsel, including all aspects of employment law and litigation. I have represented all of Utah’s school districts, the Utah School Boards Association, Utah School Principals Association, Davis Behavioral Health and the Jordan School District (Utah’s largest employer) and others in employment related issues and litigation. I have practiced in civil litigation, education law, employment law, construction law, intellectual property litigation, and real property and land development law.

Trial Experience

I have tried more than three hundred employment cases to the bench, juries, arbitration panels and administrative boards. I specialize in employment law and related litigation in both Utah State and Federal Courts, including the Utah Court of Appeals, Utah Supreme Court, Tenth Circuit Court of Appeals and the United States Supreme Court. I have been the primary attorney for cases involving every aspect of employment law and litigation, including litigation related to Constitutional torts, Title VII of the Civil Rights Act of 1964, Section 1983, the Americans with Disabilities Act, the Age Discrimination in Employment Act, the Family Medical Leave Act, the Fair Labor Standards Act and the Equal Pay Act amendments thereto, the Rehabilitation Act and also under Utah’s Little Norris-LaGuardia Act and Utah anti-Discrimination Law and employment contracts.

JEFFREY R. OLSEN, SR.

Jeffrey R. Olsen, Sr., is an associate in the law firm of Mackey Price and Thompson. Mr. Olsen graduated from the University of Utah college of law in 2001, where he received his Juris Doctorate degree and Certificate in Natural Resources and Environmental Law. He was also Vice President of the Student Bar Association.

Following graduation from law school, Mr. Olsen joined the Salt Lake City, Utah law firm of Mackey Price Thompson & Ostler. Mr. Olsen concentrates in commercial and business matters including securities, transactions, litigation and franchising.

Mr. Olsen is a member of the Utah State Bar, where he is admitted to practice in the United States Court of Appeals for the Tenth Circuit, the Federal District Court of Utah and the Supreme Court of Utah. Mr. Olsen is currently appointed and serving on the Client Security Fund Committee of the Utah State Bar.

BROOKE ASHTON

Background

Ms. Ashton received her Juris Doctor degree in 2006 from the University of Kentucky College of Law in Lexington, Kentucky. During law school she was awarded the Provost Fellowship and received the Cali Award for Trusts and Estates. Prior to attending law school, she attended the University of Utah and graduated with a Bachelor of Arts in History in 2000. At Utah she attended with a Presidential Scholarship and was on the Dean’s List from 1997 – 2000.

Ms. Ashton is currently practicing law in Salt Lake City, Utah, as an associate attorney for C. Jeffrey Thompson at Mackey, Price, Thompson & Ostler, in the areas of corporate, franchise, business opportunity and related fields of law. She is a member of the American Bar Association and the Utah State Bar.

During law school Ms. Ashton had the opportunity to work as a student attorney at the University of Kentucky Legal Clinic, representing low-income clients from the community. In the summer of 2004, she was an intern for the Offices of the Attorney General of Utah in the Insurance Fraud Division. Ms. Ashton also participated in a judicial clerkship program with the Fayette County Circuit Court and worked with the Honorable James D. Ishmael Jr.
